These AivekAI Partner Program Terms & Policy ("Partner Terms") govern participation in the AivekAI Partner Program operated by Mozarex ("AivekAI", "we", "us", or "our").
By applying for, joining, or participating in the AivekAI Partner Program, you ("Partner", "you", or "your") agree to these Partner Terms.
These Partner Terms apply in addition to any other applicable AivekAI terms and policies.
The AivekAI Partner Program allows approved creators, influencers, coaches, nutrition professionals, publishers and other eligible partners to promote AivekAI and potentially earn commissions from qualifying customer subscriptions attributed to them.
Participation is subject to approval by AivekAI.
Submitting an application does not guarantee acceptance into the Partner Program.
AivekAI may approve, reject, suspend or terminate a Partner account in accordance with these Partner Terms.
To participate, you must:
We may request additional information to verify your identity, business, promotional channels or eligibility before approving an application or processing a payout.
Approved Partners receive access to the AivekAI Partner Portal.
You are responsible for maintaining the security of your account credentials.
You must not share your Partner Portal account with unauthorized persons.
You must notify us promptly if you believe your account or referral code has been compromised.
You are responsible for ensuring that your account information, including payout information, remains accurate.
Approved Partners may receive a unique referral code and/or referral link.

AivekAI may use third-party attribution technology, including Kochava SmartLinks, to identify customers who arrive through Partner links.
Partners may distribute their referral links or codes through approved channels such as social media, websites, videos, blogs and other promotional content, subject to these Partner Terms.
Referral codes and links remain associated with the AivekAI Partner Program and may be disabled or changed where reasonably necessary.
A customer may be attributed to a Partner when a valid Partner referral is successfully recorded by AivekAI.
Attribution may occur through:
AivekAI's systems and records will be used to determine referral attribution.
Where more than one Partner attempts to refer the same customer, the first valid referral successfully attributed to that customer will generally receive the attribution.
Once a customer has been validly attributed to a Partner, the referral is normally locked and cannot simply be overwritten by another Partner code.
We may correct attribution where there is clear evidence of technical error, fraud, manipulation or administrative error.
Some Partner referrals may make customers eligible for a promotional discount on an AivekAI subscription.
Discounts:
Unless specifically stated otherwise, Partner promotional discounts currently apply to eligible annual subscription offers, while monthly subscriptions remain at their normal applicable price.
The actual price displayed and charged by Apple App Store or Google Play is authoritative.
A Partner must not promise a price or discount that AivekAI or the applicable app store does not actually offer.
Approved Partners may receive a commission on eligible revenue generated from qualifying customers attributed to them.
The applicable commission rate will be shown in the Partner Portal or otherwise communicated to the Partner.
AivekAI records the applicable commission rate when qualifying commission is generated so that subsequent changes to a Partner's commission rate do not improperly change historical commission calculations.
Where a Partner's offer includes recurring commission, the Partner may continue earning commission from eligible subscription revenue generated by their attributed customers while those subscriptions remain eligible under the Partner Program.
Recurring commission is not a guarantee of lifetime payment.
Commission eligibility remains subject to:
Commission is calculated only from revenue that AivekAI recognizes as eligible under the Partner Program.
A displayed subscription, referral, click, install or estimated transaction does not by itself create an unconditional right to payment.
AivekAI verifies transactions using applicable platform/store information before commission becomes payable.
Commission may therefore progress through different states, including pending, available, allocated and paid.
New commission may initially appear as Pending.
Pending commission is not yet available for withdrawal.
A pending amount may be awaiting:
A pending commission does not constitute a final payable amount.
Commission becomes Available once the applicable verification and eligibility requirements have been satisfied.
Only available commission may be considered for payout, subject to the minimum payout threshold and other requirements.
A minimum payout threshold may apply.
The applicable threshold is displayed in the Partner Portal and may depend on the payout currency (e.g. A$100.00 / US$100.00).
If the Partner's available balance has not reached the applicable minimum threshold, the balance will normally remain in the Partner account until the threshold is reached.
AivekAI currently uses PayPal as a Partner payout provider.
Partners are responsible for providing a valid PayPal payout destination.
The Partner must ensure that:
AivekAI is not responsible for delays resulting from incorrect Partner-provided payout information or restrictions imposed by PayPal.
Unless otherwise stated in the Partner Portal or agreed with the Partner, AivekAI currently bears the PayPal provider payout fee separately from the Partner's approved commission amount.
AivekAI may change its payout fee policy prospectively by updating these Partner Terms or providing appropriate notice.
Commission is earned only on valid, eligible revenue.
If a customer transaction is subsequently refunded, partially refunded, revoked, reversed, charged back, found to be fraudulent, or otherwise invalidated, the related Partner commission may be adjusted or reversed.
For a partial refund, the related commission may be adjusted proportionally.
Where commission has already been paid, the adjustment may be deducted from future Partner commissions or handled through another reasonable reconciliation process.
We will not intentionally charge commission on revenue that AivekAI did not validly retain.
A customer cancelling their subscription does not automatically invalidate commission that was legitimately earned from eligible payments already completed.
However, no future recurring commission will be generated where there is no further qualifying subscription revenue.
A payout may fail, be held, returned, blocked, unclaimed, reversed or otherwise delayed by PayPal.
Where this happens, AivekAI may hold the relevant commission while the payout is investigated or reconciled.
A returned or reversed payout will not automatically be sent again without appropriate verification.
Partners may be asked to correct their payout details before another payout attempt.
Partners are responsible for determining and meeting their own tax obligations arising from commissions received through the Partner Program.
AivekAI does not provide tax advice.
Where legally required, AivekAI may request tax, identity, business or residency information and may withhold or report amounts as required by applicable law.
Partners should obtain independent professional advice regarding their circumstances.
Partners must clearly disclose their commercial relationship with AivekAI whenever required by applicable law or platform rules.
For example, content may need to clearly indicate that it contains an affiliate link, referral relationship, paid partnership or other commercial arrangement.
The disclosure must be sufficiently clear for an ordinary consumer to understand that the Partner may receive a benefit if they subscribe through the Partner's referral.
Partners must comply with applicable advertising rules in the countries where they promote AivekAI.
Partners must promote AivekAI accurately and responsibly.
Partners must not:
Because AivekAI relates to food, nutrition and calorie tracking, Partners must take particular care with health-related marketing.
Partners must not claim that AivekAI:
AivekAI should be represented as a tool designed to assist users with tracking and understanding food, calorie and nutrition information.
Partners may use approved AivekAI logos, screenshots, product descriptions and marketing materials solely for legitimate promotion of AivekAI under the Partner Program.
Partners must not:
All AivekAI intellectual property remains the property of its applicable owner.
Partners must not use paid advertising in a way that impersonates AivekAI or creates confusion about whether an advertisement is operated directly by AivekAI.
Unless expressly approved by AivekAI, Partners must not bid on AivekAI-branded search terms or misleading variations intended to intercept users already searching specifically for AivekAI.
AivekAI may impose additional paid-advertising restrictions for individual campaigns.
Partners must not generate commission through artificial or manipulated transactions.
Prohibited conduct includes:
AivekAI may withhold or reverse commission reasonably associated with fraudulent or abusive activity while it investigates.
Partners must not promote AivekAI using unlawful spam, unsolicited bulk communications or other prohibited marketing practices.
Partners are responsible for complying with applicable email, SMS, privacy and electronic marketing laws.
AivekAI may process information about Partners for purposes including:
Partner information will be handled in accordance with applicable privacy requirements and AivekAI's Privacy Policy.
Partners generally do not receive unrestricted access to individual customer personal information merely because they referred the customer.
The Partner Portal may provide aggregated or limited information necessary to understand referrals, commissions and performance.
Partners must not attempt to identify, obtain or misuse customer information beyond information legitimately made available to them.
AivekAI may review Partner activity for fraud, abuse, unusual referral patterns or violations of these Partner Terms.
During an investigation, AivekAI may reasonably:
Where possible and appropriate, AivekAI will provide the Partner with information about material actions affecting their account.
AivekAI may suspend or terminate participation in the Partner Program where a Partner:
Partners may also request to leave the Partner Program at any time.
Termination does not automatically erase valid commission legitimately earned before termination.
However, fraudulent, invalid, refunded, reversed or otherwise ineligible transactions remain subject to adjustment.
Eligibility for future recurring commissions following termination may depend on the reason for termination and the applicable Partner arrangement.
AivekAI may modify commission rates, promotional offers, payout thresholds, payout methods, eligibility requirements, or other Partner Program rules.
Changes apply prospectively unless a retrospective adjustment is required because of fraud, refunds, reversals, legal requirements or correction of an error.
Where a material change affects Partners, AivekAI will provide reasonable notice through the Partner Portal, email or another appropriate method.
Historical commission already validly earned will not be arbitrarily recalculated simply because a future commission rate changes.
AivekAI does not guarantee that the Partner Program, a particular promotional offer or a particular commission structure will remain available indefinitely.
We may modify or discontinue the Partner Program subject to applicable law and our obligations regarding eligible commission already earned.
Participation in the Partner Program does not create an employment, agency, partnership, franchise or joint venture relationship between the Partner and AivekAI.
Partners act independently and are responsible for their own business activities, expenses and obligations.
Partners do not have authority to enter into agreements or make commitments on behalf of AivekAI.
AivekAI does not guarantee any level of Partner earnings.
Actual earnings depend on factors including referrals, customer conversions, qualifying transactions, subscription retention, refunds and the applicable commission rate.
Any examples of potential commission are illustrative only unless expressly stated otherwise.
If a Partner believes a referral, commission or payout is incorrect, they should contact AivekAI with sufficient information for us to investigate.
AivekAI may use relevant system records, store transaction information, referral attribution data and payout-provider records when investigating disputes.
Partners should raise commission or payout discrepancies within a reasonable period after becoming aware of them.
Participation in the Partner Program remains subject to applicable law and any relevant limitations, disclaimers and dispute provisions contained in AivekAI's general Terms of Service.
Nothing in these Partner Terms excludes rights or remedies that cannot legally be excluded.
